AGREEMENT TO TERMS

These Terms of Use constitute a legally binding agreement made between you, whether personally or on behalf of an entity (“you”) and COPT Defense Properties, and its affiliates, concerning your access to and use of the COPT Defense Properties website as well as any other media form, media channel, mobile website or mobile application related, linked, or otherwise connected thereto (collectively, the “Site”). You agree that by accessing the Site, you have read, understood, and agreed to be bound by all of these Terms of Use. IF YOU DO NOT AGREE WITH ALL OF THESE TERMS OF USE, THEN YOU ARE EXPRESSLY PROHIBITED FROM USING THE SITE AND YOU MUST DISCONTINUE USE IMMEDIATELY.

Supplemental terms and conditions or documents that may be posted on the Site from time to time are hereby expressly incorporated herein by reference. We reserve the right, in our sole discretion, to make changes or modifications to these Terms of Use at any time and for any reason and you waive any right to receive specific notice of each such change. It is your responsibility to periodically review the Site and these Terms of Use to stay informed of any updates. You will be subject to, and will be deemed to have been made aware of and to have accepted, the changes in any revised Terms of Use by your continued use of the Site after the date such revised Terms of Use are posted.

The information provided on the Site is not intended for distribution to or use by any person or entity in any jurisdiction or country where such distribution or use would be contrary to law or regulation or which would subject us to any registration requirement within such jurisdiction or country. Accordingly, those persons who choose to access the Site from other locations do so on their own initiative and are solely responsible for compliance with local laws, if and to the extent local laws are applicable.

INTELLECTUAL PROPERTY RIGHTS

Unless otherwise indicated, the Site is our proprietary property and all source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics on the Site (collectively, the “Content”) and the trademarks, service marks, and logos contained therein (the “Marks”) are owned or controlled by us or licensed to us, and are protected by copyright and trademark laws and various other intellectual property rights and unfair competition laws of the United States, foreign jurisdictions, and international conventions. USER REPRESENTATIONS

By using the Site, you represent and warrant that: (1) you have the legal capacity and you agree to comply with these Terms of Use; (2) you are not a minor in the jurisdiction in which you reside; (3) you will not access the Site through automated or non-human means, whether through a bot, script, or otherwise; (4) you will not use the Site for any illegal or unauthorized purpose; and (5) your use of the Site will not violate any applicable law or regulation.

If you provide any information that is untrue, inaccurate, not current, or incomplete, we have the right to suspend or terminate your account and refuse any and all current or future use of the Site (or any portion thereof).

PROHIBITED ACTIVITIES

In connection with your use of the Site, you will not:

  1. use the Site for any illegal or unauthorized purpose;
  2. violate the Terms, intellectual property rights, rights of privacy, rights of publicity or other personal rights of any person or entity, or any applicable laws (including but not limited to those governing export control, consumer protection, unfair competition, false advertising, copyright, privacy and anti-spam);
  3. transmit any Trojan horses, worms, time bombs or viruses, corrupted files or any code of a destructive nature or that is intended to damage, detrimentally interfere with, surreptitiously intercept or expropriate any systems, data, personal information or property;
  4. submit or post infringing, harassing, threatening, unlawful, false, inaccurate, misleading, defamatory, obscene, hateful, discriminatory, unlawful, tortious, or libellous content, or content that is harmful to minors or any third party’s privacy;
  5. impersonate any person or entity, or misrepresent yourself or your affiliation with any person or entity;
  6. engage in spamming, phishing, distribution of unsolicited or bulk electronic communications or chain letters, or pyramid or Ponzi schemes;
  7. use manual or automated software, devices, scripts robots or other means or processes to access, “scrape,” “crawl” or “spider” the Site or any related data or information;
  8. attempt to interfere with or undermine the integrity or proper working of the Site or activities conducted via the Site, or the data, systems or networks used by COPT Defense Properties, or attempt to gain unauthorized access to such data, systems or networks;
  9. reproduce, perform, display, distribute, or prepare derivative works from content that belongs to or is licensed to COPT Defense Properties, or that comes from the Site and belongs to a third party, including works covered by any copyright, trademark, patent, or other intellectual property right, except with prior express permission of COPT Defense Properties and/or the third party holding the right to license such use;
  10. reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code, object code, or underlying structure, ideas, or algorithms of or included in, or modify, translate or create derivative works based on, the Site or any software, documentation or data related to the Site;
  11. reproduce, duplicate, copy, sell, resell or exploit any portion of the Site, use of the Site, or access to the Site without the express written permission by COPT Defense Properties;
  12. harvest or otherwise collect information about others, including email addresses, without their consent; or
  13. engage in any activities that would otherwise create any liability for COPT Defense Properties.

The list of prohibited activities above is not intended to be a complete or exhaustive list of all prohibited activities. Engaging in any activity that, in COPT Defense Properties sole and absolute discretion, disrupts, interferes with or is harmful to (or threatens to disrupt, interfere with, or be harmful to) the Site, COPT Defense Properties business, operations, reputation, goodwill, customers and/or customer relations, or the ability of COPT Defense Properties customers to effectively use the Site, is prohibited. Engaging in any prohibited activities, or using the Site in violation the Terms may result in COPT Defense Properties taking action against you and immediately terminating your access to the Site. COPT Defense Properties may report to law enforcement authorities any actions that may be illegal, and any information we receive alleging illegal activity. When legally required, or otherwise in COPT Defense Properties sole discretion, COPT Defense Properties will cooperate with law enforcement agencies in any investigation of alleged illegal activity conducted using the Site.
